　?。?） The legal basis for determining the target of the plan is based on the Company Law, Securities Decision, other relevant laws, regulations and normative documents, as well as the relevant provisions of the Articles of Association of Fubon Corporation, combined with the actual situation of the company.

　　（二）計劃對象確定的職務依據(jù)本計劃涉及的計劃對象為公司董事會認定的對公司經(jīng)營業(yè)績和來,，來發(fā)展有直接影響的外籍管理人員,、核心業(yè)務（技術）人員。

　?。?） The positions determined for the planned targets are based on the foreign management personnel and core business (technical) personnel recognized by the company's board of directors as having a direct impact on the company's business performance and development.

　?。ㄈ┯媱潓ο蟮目己艘罁?jù)依據(jù)公司董事會通過的富邦股份《股票增值權激勵計劃考核管理辦法》對計劃對象進行考核,，計劃對象經(jīng)考核合格后方具有獲得授予本期股票增值權的資格。

　?。?） The assessment criteria for the planned objects are based on the "Management Measures for the Assessment of Stock Appreciation Rights Incentive Plans" approved by the board of directors of Fubon Corporation. 　　（四）當本激勵計劃對象發(fā)生職務變更,、離職,、喪失勞動力、退休,、死亡等情形,，公司董事會可依據(jù)相關規(guī)定及本計劃的有關規(guī)定對計劃對象進行調(diào)整。
